Changes in the structure of the Group of companies of Samruk-Energy JSC

In 2024, Samruk-Energy JSC made a number of strategic changes aimed at optimisation of asset management and development of the energy sector. On 14 May, 100% participation shares in AES Ust Kamenogorsk HPP LLP and AES Shulbinsk HPP LLP were included in the perimeter of the company's assets. On 17 June, the Group of Samruk-Energy JSC took into trust management the property complex of Ekibastuz CHPP owned by Ekibastuz Akimat. On 24 June, together with Samruk-Kazyna JSC, three joint ventures with equal distribution of shares (50% each) were established: Kokshetau TPP LLP, Semey Energy LLP and Oskemen Energy LLP.

As part of asset optimisation, liquidation of LLC Resursenergougol was completed on 28 October 2024 due to the absence of financial and economic activities since 2021. On 30 October, liquidation of Shulbinsk HPP JSC was registered due to the absence of financial and economic activities since 1997.

November 14, reorganisation of Forum Muider B.V. (Netherlands) through a merger with Forum Muider Limited (Cyprus) as part of the redomiciliation of foreign assets in the Astana International Financial Centre (AIFC). December 30, the Government of the Republic of Kazakhstan adopted Resolution No.1138 on issuance of permission to Samruk- Energy JSC to transfer strategic facilities, including AES Ust‑Kamenogorsk HPP LLP, AES Shulbinsk HPP LLP and Shardara HPP JSC, to Qazaq Green Power PLC. On 31 December, pursuant to the Law of the Republic of Kazakhstan On Electricity, AlmatyEnergoSbyt LLP was reorganised by merging with Alatau Zharyk Company JSC.
